1. Terms
This page (together with the documents referred to on it) is the License Agreement between you or the entity that you represent Century Gate software Solutions Pvt. Ltd. governing your use of Integra Community Management Software (hereinafter also "ICM"). By using the ICM you confirm that you are agreeing to be bound by the following terms and conditions. By proceeding to download and install ICM software (or any updates to this Software that we may make available from time to time), you agree to the terms of this page and your use of such software (including any updates) will be in compliance with these Terms and Conditions. If you do not agree to these, we are unwilling to license our software to you. In this case, you may not download or install our software and you must discontinue the download or installation process.

| ► | You must be human. “Bots” or other automated sign-ups aren't permitted. |
| ► | You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process. |
| ► | You're responsible for maintaining the security of your database. Century Gate software Solutions Pvt. Ltd. can't and won't be liable for any loss or damage from your failure to comply with this security obligation. |
| ► | You may not use the ICM for any illegal or unauthorized purpose. You must not, in the use of the ICM, violate any laws in your jurisdiction (including but not limited to copyright laws). |

2. Modifications of the Site Terms and Conditions
Century Gate software Solutions Pvt. Ltd. reserves the right to update and change the terms and conditions from time to time without notice. Any new features that augment or enhance the current ICM, including the release of new tools and resources, shall be subject to these terms and conditions. Continued use of the ICM after any such changes shall constitute your consent to such changes. 3. License to use of ICM
ICM is an application that allows you to use all modules/features/forms/reports provided in the software.
"License" means the terms and conditions for the use of the software ICM, and has the form of an Authorization Key document that sets forth one specific Licensed Software and the specific number of Concurrent Authorized Users and Serial Number and Authorization Code associated with the Licensed Software. Its form may vary depending of the chosen type of plan.
Types: The ICM offers both free and paid licenses, which are described on the www.integracommunity.com site. You should note that different limitations apply to the various subscriptions. Any supplemental terms applicable to the subscriptions are incorporated herein. We may also provide promotional or trial subscriptions which are limited in time, specifications etc.
Fees and Taxes: If you register for a paid license, you must designate from the site a payment method you are authorized to use and provide us with accurate and up to date billing and payment information. We will bill you for paid license, including any applicable taxes, fees and surcharges, through the payment method you designate and you agree to pay us for all charges incurred under your account.
Paid Licenses are billed in advance upon delivery of ICM. The authorization code is received only after all the charges are paid. All charges are non-refundable even if you eventually stop using the ICM.
Permission is also granted to temporarily download one copy of the ICM software for testing purposes from integracommunity.com site for personal, non-commercial transitory viewing only.
Under the grand of a testing or paid license you may not:
| ► | Sell, rent, transfer or sub-license the license of this software; |
| ► | Republish material from this software; |
| ► | Sell, rent, transfer or sub-license material from the software; |
| ► | Use the materials for any commercial purpose, or for any public display (commercial or non-commercial); |
| ► | Attempt to decompile or reverse engineer any software contained by ICM; |
| ► | Remove any copyright or other proprietary notations from the materials; or |
| ► | Transfer the materials to another person or "mirror" the materials on any other server. |
This license shall automatically terminate if you violate any of these restrictions and may also be terminated by Century Gate Software solutions Pvt. Ltd. at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
4. Use of the Software
You agree to use the software solely for the use of you or the entity that you represent. You agree not to enable public performance or other activities prohibited by applicable copyright law.
You may not use the ICM to:
| ► | Infringe on any proprietary right of any party, |
| ► | invade the privacy right of any person or entity; |
| ► | misrepresent the identity of a user; |
| ► | Impersonate any person or entity, including any employee or representative of Century Gate Software Solutions Pvt. Ltd. or its affiliated companies; |
| ► | conduct fraudulent or other illegal activities; |
| ► | Resell, transfer or sublicense any aspect of the ICM; |
| ► | Collect or harvest information regarding other users of the ICM for any reason whatsoever, including, without limitation, for sending such users unsolicited bulk e-mail or other forms of unsolicited bulk communications. |
You must not access or use the ICM is you are prohibited from doing so under applicable laws, rules and regulations of your resident country, the country from which you are accessing the ICM. Otherwise, Century Gate Software Solutions Pvt. Ltd. reserves the right, in its sole discretion, to suspend or terminate your access to and use of the ICM at any time, with or without notice.
5. Third party
The licensor is not responsible for support, customization or development carried out by third party suppliers. The Licensor is not responsible for commitment entered into by a third party that could represent an obstacle to the performance of these terms and conditions.
6. Privacy

7. Notices
You agree that all agreements and transactions between you and us will be done electronically. You agree to receive all notices and terms regarding the ICM either by (a) e-mail to you, by (b) posting them on the web page or by (c) direct insertion in the ICM software. To receive electronic notices, you must have access to the Internet and a current version of an Internet browser. You will need to provide your own printer if you want to print any of our terms.
8. Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL CENTURY GATE SOFTWARE SOLUTIONS PVT. LTD, OR THEIR RESPECTIVE PARENTS, AFFILIATES, DIRECTORS, EMPLOYEES, DISTRIBUTORS, SUPPLIERS, AGENTS OR RESELLERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE ICM. AND IN NO EVENT SHALL CENTURY GATE SOFTWARE SOLUTIONS PVT. LTD. LIABILITY TO YOU FOR ALL DAMAGES. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CENTURYGATE SOFTWARE SOLUTIONS PVT. LTD. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. ADDITIONALLY, UNDER NO CIRCUMSTANCES SHALL CENTURY GATE SOFTWARE SOLUTIONS PVT. LTD. BE HELD RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY LOSS OR DAMAGE CAUSED OR ALLEGED TO HAVE BEEN CAUSED TO YOU IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY EXTERNAL SITES LINKED FROM THE SITE. CENTURY GATE SOFTWARE SOLUTIONS PVT. LTD. IS NOT RESPONSIBLE FOR, AND SHALL HAVE NO LIABILITY FOR, THE LOSS OF OR DAMAGE TO YOUR CONTENT AND DOCUMENTS INCLUDING ANY LOSS OR DAMAGE RESULTING FROM THE SUSPENSION OR TERMINATION OF THE SERVICES OR THIS AGREEMENT.
9. Indemnification
Upon a request by Century Gate Software Solutions Pvt. Ltd. you agree to defend, indemnify, and hold Century Gate Software Solutions Pvt. Ltd. harmless and other affiliated companies, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney's fees, that arise from your misuse of ICM or from your failure to comply with these terms and conditions. Century Gate Software Solutions Pvt. Ltd. reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Century Gate Software Solutions Pvt. Ltd in asserting any available defenses.
10. Governing Law
Any claim relating to ICM shall be governed by the laws of the state of India without regard to its conflict of law provisions. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to this agreement or your use of the ICM shall be filed only in Thrissur jurisdiction.
11. Severability and Integration
Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Century Gate Software Solutions Pvt. Ltd. with respect to the ICM and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Century Gate Software Solutions Pvt. Ltd. with respect to the ICM. If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

ICM is a software developed and owned by Century Gate Software Solutions Pvt. Ltd. We are registered in India under CIN: U72200KL2008PTC022048 and have our registered office at Pazhoor Arcade, Patturaickal, Thrissur Kerala, India.
